Corporate Law and M&A

Legal advice and support on company formation and reorganisation, corporate governance, mergers and acquisitions (M&A), legal due diligence, and domestic and international corporate transactions.

From setting up a company to complex mergers and acquisitions, we support your business at every stage. Our aim is to identify the legal risks of corporate decisions early and to structure them in line with your business goals.

Our services

  • Formation of companies and branches; preparation of charters and other corporate documents
  • Agreements between founders (shareholders) and corporate governance rules
  • Restructuring, reorganisation and transfers of participatory interests and shares
  • Legal support for mergers and acquisitions (M&A)
  • Legal due diligence and risk reports
  • Cross-border corporate transactions and support for foreign investors

Our approach

In every transaction we look beyond the documents to the commercial purpose behind them. In deals involving foreign parties we advise in Azerbaijani, English and Turkish, and take the differences between legal systems into account from the outset.

Preparing for your consultation

If you attach the documents you have to your request, your lawyer will review them before the meeting:

  • The company’s charter, incorporation documents and an extract from the state register
  • Agreements between the founders (shareholders) and resolutions of the general meeting
  • Documents on the planned transaction: letter of intent, draft agreements, correspondence
  • A short overview of the shareholding structure and management bodies
  • For foreign companies: registration documents and a document confirming the representative’s authority

You can still contact us if you do not have all of them. We will identify what is missing together.

Frequently asked questions

What documents are needed to set up a company in Azerbaijan?

The required documents depend on the type of company and on the founders' status (individual or legal entity, resident or non-resident). Once we have reviewed your circumstances, we will provide you with the exact list of documents and the next steps involved.

Why is legal due diligence important?

Legal due diligence helps identify undisclosed liabilities, existing and potential disputes, and compliance gaps before acquiring a company or an asset. It plays an important role in negotiating the purchase price, as well as in agreeing appropriate contractual warranties.

Do you work with foreign investors?

Yes. A significant proportion of our clients are foreign companies and investors. We also prepare advice and documents in English and Turkish.
